EXPENSIFY KARMA PROGRAM TERMS 

In addition to providing expense management software, invoicing, bill processing, applications and other related financial tools and services, Expensify, Inc. (“Expensify” or “we”), allows Cardholders, Corporate Members and Members the opportunity to donate a percentage of their spend, including but not limited to bills, invoices, expense reports, and/or accrued points balance to Expensify.org, a California nonprofit public benefit corporation and a charitable affiliate of Expensify, along with other related programs provided by Expensify from time to time, subject to certain conditions and restrictions (the “Karma Points Program”, “Corporate Karma Program” and the “Personal Karma Program”, each as described in more detail herein, and collectively, the “Karma Programs”). Please carefully read the following terms and conditions related to the Expensify Karma Programs (the “Karma Terms”). By participating in the Karma Points Program, Corporate Karma Program and/or Personal Karma Program, you acknowledge that you have read these Karma Terms and agree to abide by the requirements explained herein. These Karma Terms are incorporated into the Expensify Terms of Service. These Karma Terms govern your access to and use of the Karma Programs and constitute a binding legal agreement between you and Expensify.

In these Karma Terms, “you” and “your” refers to individual users of the Expensify Service, as well as to Cardholders, Members and Corporate Members. “Cardholders,” “Members,” “Corporate Members,” and other capitalized terms not defined in these Karma Terms are defined in the Expensify Terms of Service.

YOU ACKNOWLEDGE AND AGREE THAT, BY CLICKING ON THE “ACCEPT TERMS” BUTTON, OR PARTICIPATING IN THE KARMA POINTS PROGRAM, CORPORATE KARMA PROGRAM AND/OR PERSONAL KARMA PROGRAM, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE KARMA TERMS. IF YOU DO NOT AGREE TO THESE KARMA TERMS, THEN YOU HAVE NO RIGHT TO PARTICIPATE IN THE KARMA PROGRAMS. If you accept or agree to these Karma Terms on behalf of a company or other legal entity, then you represent and warrant that you have the authority to bind that company or other legal entity to these Karma Terms and, in such event, “you” and “your” will refer and apply to that company or other legal entity.

Expensify reserves the right, at its sole discretion, to modify, discontinue or terminate the Karma Programs or to modify these Karma Terms, at any time and without prior notice. If we modify these Karma Terms, we will post the modification on www.expensify.com (the “Site”) or provide you with notice of the modification. We will also update the “Last Updated Date” at the top of these Karma Terms. By continuing to participate in the Karma Program after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Karma Terms. If the modified Karma Terms are not acceptable to you, your only recourse is to cease participating in the Karma Program or cancel your Card. If you are a Member on a Corporate Policy participating in the Corporate Karma Program and these Karma Terms are not acceptable to you, your only recourse is to contact your Corporate Administrator. 

Karma Points Program

As one of the perks of using the Card, Expensify will donate a portion of the interchange revenue it makes on every Card transaction to an Expensify.org campaign. Cardholders do not opt into or out of the Karma Points Program because Cardholders are not personally making any donations to Expensify.org via Cardholders’ use of the Card. Instead, Expensify automatically donates a percentage of its own interchange revenue to an Expensify.org campaign on such Cardholder’s behalf.

Expensify will share Cardholder’s name and primary login credentials (e-mail address or phone number, depending on Cardholder’s chosen registration method) with Expensify.org, Expensify.org volunteers, and other Members who participate in the Karma Program as part of its feedback loop, which connects donors to Expensify.org volunteers. You acknowledge that by voluntarily providing your telephone numbers to Expensify, you expressly agree to be contacted at the telephone numbers you provide. You consent to receive e-mails and text messages by or on behalf of Expensify relating to this Agreement or any transaction with Expensify. These communications may be made by or on behalf of Expensify, even if your phone number is registered on any state or federal Do Not Call list. You acknowledge that you may incur a charge for texts by your telephone carrier and that Expensify will not be responsible for these charges.

Expensify neither charges any additional fees for this service nor takes any percentage of the donations made through the Karma Points Program. Donations made through the Karma Points Program are donations to Expensify.org. A Cardholder will not receive a donation receipt for Expensify’s donations made to Expensify.org since Expensify is making the donation on your behalf.

Corporate Karma Program

As part of the Expensify Service, Corporate Members may elect to donate a percentage of their company spend to Expensify.org, a California nonprofit public benefit corporation and a charitable affiliate of Expensify (the “Corporate Karma Program”). In order for a Corporate Member to participate in the Corporate Karma Program, an administrator of the Corporate Member must affirmatively opt-in to the Corporate Karma Program on behalf of the Corporate Member either in the Inbox section of the Expensify application or by visiting our Admin Policy Page.

Once a Corporate Member has opted in to the Corporate Karma Program, Expensify will charge the payment card on file according to such Corporate Member’s normal billing cycle until the Corporate Member opts out of the Corporate Karma Program by visiting our Admin Policy Page. The Corporate Karma Program will not reduce expenses reimbursed to Members from a Corporate Member, but such amount will be paid by the Corporate Member in addition to expenses reimbursed to its Members, based on a percentage of its Members’ total expenses. Expensify will then donate the funds received by Corporate Members in connection with the Corporate Karma Program to Expensify.org.

The Corporate Karma Program may allow Corporate Members to make automatic recurring donations in accordance with the Corporate Member’s normal billing cycle (“Donation Schedule”). When a Corporate Member opts in to a Donation Schedule, such Corporate Member is making a pledge to make recurring donations until the Corporate Member opts out of the Donation Schedule. By opting in to a Donation Schedule, such Corporate Member is authorizing Expensify or its Partner Companies to charge the Corporate Member for such recurring donations in such amounts and at such times, in accordance with the applicable Donation Schedule. Any change to Donation Schedules will be effective immediately with respect to any donations scheduled after the date of such change. Once a Corporate Member’s account has been charged, all donations are non-refundable.

Expensify will share donor information about participating Corporate Members with Expensify.org, including the Corporate Member’s name, contact information, and donation amount(s). Expensify will also share the name and primary login credentials (email address or phone number, depending on Member’s chosen registration method) of Members under a Corporate Policy whose Corporate Administrator has elected to participate in the Corporate Karma Program with Expensify.org, Expensify.org volunteers, and other Members who participate in the Karma Program as part of its feedback loop, which connects donors to volunteers of Expensify.org. You acknowledge that by voluntarily providing your telephone numbers to Expensify, you expressly agree to be contacted at the telephone numbers you provide. You consent to receive e-mails and text messages by or on behalf of Expensify relating to this Agreement or any transaction with Expensify. These communications may be made by or on behalf of Expensify, even if your phone number is registered on any state or federal Do Not Call list. You acknowledge that you may incur a charge for texts by your telephone carrier and that Expensify will not be responsible for these charges.

A Corporate Member will receive a donation receipt for its donations made to Expensify.org in accordance with the Corporate Member’s Donation Schedule. Such receipt will come from Expensify, on behalf of Expensify.org. Expensify.org is a charitable organization that has been recognized   as a Section 501(c)(3) public charity.  Federal law provides that contributions to Expensify.org are tax-deductible to the extent allowed by law.  Expensify makes no guarantees, representations, or warranties regarding the tax- deductibility of any donation or the sufficiency of any such receipts for substantiating charitable contribution deductions. Please consult your tax advisor regarding any questions about the deductibility of your donation.

To opt-in to the Corporate Karma Program on behalf of a Corporate Member, go to our Admin Policy Page, which may be updated from time to time by Expensify in Expensify’s sole discretion. Please note that once a Corporate Member has opted-in to the Corporate Karma Program, the Members under such Corporate Policy will not be able to opt-out of communications related to the Karma Program unless and until the Corporate Member opts-out of the Corporate Karma Program or removes a particular member from the company Expensify policy/policies. 

Personal Karma Program

As part of the Service, Members may elect to donate a percentage of their reported and approved expenses to Expensify.org, a charitable affiliate of Expensify (the “Personal Karma Program”). In order for a Member to participate in the Personal Karma Program, the Member must affirmatively opt-in to the Personal Karma. Program by updating their account or updating their settings.

Once a Member has opted in to the Personal Karma Program, Expensify will charge the payment card on file according to such Member’s normal billing cycle until the Member opts out of the Personal Karma Program by updating their settings.

The Personal Karma Program may allow Members to make automatic recurring donations in accordance with the Member’s Donation Schedule. When a Member opts in to a Donation Schedule, such Member is making a pledge to make recurring donations until the Member opts out of the Donation Schedule. By opting in to a Donation Schedule, such Member is authorizing Expensify or its Partner Companies to charge the Member for such recurring donations in such amounts and at such times, in accordance with the applicable Donation Schedule. Any change to Donation Schedules will be effective immediately with respect to any donations scheduled after the date of such change.
